Every user of the SES website agrees that use of our website is subject to terms, conditions and other applicable laws. By using our website, users agree to each of the terms and conditions disclosed below.

  • Dealer Registration

    A company interested in becoming a registered dealer with Security Equipment Supply, Inc. (SES) must complete our application and verification process.

    • Our verification process consists of a phone screen with an SES Account Representative.
  • General Terms and Conditions for the Sale of Goods

    JUNE 1, 2022

    These terms and conditions of sale (these "Terms") are the only terms which govern the sale of the goods ("Goods") by Security Equipment Supply, Inc. ("SES") to a buyer ("Customer"). Notwithstanding anything herein to the contrary, if a written contract signed by both parties is in existence covering the sale of the Goods covered hereby, the terms and conditions of said contract shall prevail to the extent they are inconsistent with these Terms.

    Delivery of Goods

    The Goods will be delivered within a reasonable time after the receipt of Customer's purchase order. Unless otherwise agreed in writing by the parties, SES shall deliver the Goods to Customer’s location (the "Delivery Point") using SES's standard methods for packaging and shipping such Goods. If for any reason Customer fails to accept delivery of any of the Goods, or if SES is unable to deliver the Goods at the Delivery Point because Customer has not provided appropriate instructions, documents, licenses or authorizations: (i) risk of loss to the Goods shall pass to Customer; (ii) the Goods shall be deemed to have been delivered; and (iii) SES, at its option, may store the Goods until Customer picks them up, whereupon Customer shall be liable for all related costs and expenses (including, without limitation, storage and insurance).

    SES may, in its sole discretion, without liability or penalty, make partial shipments of Goods to Customer. Each shipment will constitute a separate sale, and Customer shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Customer's purchase order.

    Shipping Terms; Title and Risk of Loss

    Delivery of the Goods shall be made FOB destination. Title and risk of loss passes to Customer upon delivery of the Goods at the Delivery Point. As collateral security for the payment of the purchase price of the Goods, Customer hereby grants to SES a lien on and security interest in and to all of the right, title and interest of Customer in, to and under the Goods, wherever located, and whether now existing or hereafter arising or acquired from time to time, and in all accessions thereto and replacements or modifications thereof, as well as all proceeds (including insurance proceeds) of the foregoing. The security interest granted under this provision constitutes a purchase money security interest under the Missouri Uniform Commercial Code.

    Inspection and Rejection of Nonconforming Goods

    Customer shall inspect the Goods within five business days of receipt ("Inspection Period"). Customer will be deemed to have accepted the Goods unless it notifies SES in writing of any Nonconforming Goods during the Inspection Period and furnishes such written evidence or other documentation as reasonably required by SES. "Nonconforming Goods" means only the following: (i) the product shipped is different than identified in Customer's purchase order; or (ii) the product's label or packaging incorrectly identifies its contents.

    If Customer notifies SES within the Inspection Period of any Nonconforming Goods, SES shall, in its sole discretion, (i) replace such Nonconforming Goods with conforming Goods, or (ii) credit or refund the purchase price for such Nonconforming Goods. Customer shall ship, at its expense and risk of loss, the Nonconforming Goods to SES's facility. If SES exercises its option to replace Nonconforming Goods, SES shall, after receiving Customer's shipment of Nonconforming Goods, ship to Customer, at Customer’s expense and risk of loss, the replaced Goods to the Delivery Point.

    Customer acknowledges and agrees that the foregoing remedies are Customer's exclusive remedies for the delivery of Nonconforming Goods. Except as expressly provided herein, all sales of Goods to Customer are made on a one-way basis and Customer has no right to return Goods purchased under these Terms.

    Price and Terms of Payment

    Customer shall purchase the Goods from SES at the price (the "Price") set forth in SES's current price list in force as of the date of Customer's purchase order. All Prices are exclusive of all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any governmental authority on any amounts payable by Customer. Customer shall be responsible for all such charges, costs and taxes; provided, that, Customer shall not be responsible for any taxes imposed on, or with respect to, SES's income, revenues, gross receipts, personal or real property, or other assets. If Customer is tax exempt, Customer shall provide its valid exemption number and certificate to SES.

    Unless SES advises Customer that it is subject to different payment terms, all Customers shall pay all amounts due to SES upon placing orders. Should a Customer wish to apply for open Net 30 payment terms, the Customer must complete a SES credit application and must be approved by SES. Approved Customers shall pay all invoiced amounts due to SES within 30 days from the date of SES's invoice. Customer shall make all payments hereunder in US dollars by wire transfer, cash, certified check or money order unless prior arrangements have been made with SES’s credit department. SES may accept Visa, Mastercard, Discover and American Express orders but may apply a surcharge to such orders.

    Customer shall pay interest on all late payments at the lesser of the rate of 1.5% per month or the highest rate permissible under applicable law, calculated daily and compounded monthly. Customer shall reimburse SES for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under these Terms or at law (which SES does not waive by the exercise of any rights hereunder), SES shall be entitled to suspend the delivery of any Goods if Customer fails to pay any amounts when due hereunder and such failure continues for 60 days. Customers whose accounts are not paid within terms set forth above are subject to having the account placed in the hands of an outside agent for collection. All returned checks may be charged $25.00 per check, per return, in SES’s discretion.

    Limited Warranties

    All Goods distributed by SES are warranted against defects in materials and workmanship only to the extent the individual manufacturers of the Goods warrant such Goods. SES MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE GOODS, INCLUDING ANY (i) WARRANTY OF MERCHANTABILITY; (ii) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (iii) WARRANTY OF TITLE; OR (iv) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

    Returns and Repairs

    SES will honor and pass on to Customer all individual manufacturers return and repair policies in effect. If in effect, Customer shall contact SES to receive a Return Merchandise Authorization ( “RMA” ) number before returning Goods. Goods will not be accepted for return without an RMA number. Returns must be received by SES within 30 days of purchase. Customer shall ship Goods to SES prepaid, in the original carton along with invoice number and date of purchase. Customer shall write the RMA number on the outside of the shipping carton. A restocking charge of 15% or more (reflecting manufacturer’s policy) may apply to returns. In addition, the Goods should not have been previously installed; if they were, the Goods may not be returned. Seller will only accept Goods returned more than 30 days after purchase if such return is approved by the applicable manufacturer.

    For repairs, Customer is responsible for shipping and insurance charges (including freight to and from SES). Additionally, a repair handling fee of $15.00 ($25.00 for oversized or bulky items) may be charged by SES to the Customer. All repair charges, plus fees assessed by the manufacturer will be charged by SES to the Customer.

    Nonstock/Special Order Return Policy:

    Notwithstanding anything to the contrary in these Terms, the return and repair of Nonstock Items and Special Order Nonstock Items (defined below) are governed by this section.

    “Nonstock Items” are defined as Goods that are not a regular stocking item by SES and are purchased by SES based on a specific Customer request. The applicable manufacturer/vendor return policy will dictate whether a Customer’s Nonstock Item orders can be returned to SES. Restock fees and return shipping fees are based on the specific manufacturer/vendor return policy, and will be charged to the Customer. In general (but varies by vendor), a 30-day window from date the Nonstock Item was received by SES is an allowable return period, provided that restock and return shipping fees may still apply. Nonstock Items not picked up or released for shipment to the Customer within 30 days of receipt by SES will be returned to the applicable vendor, and any applicable fees incurred by SES in connection with such return will be charged to the Customer.

    “Special Order Nonstock Items” are Nonstock Items that are specialized or altered in some manner at the Customer’s request. Customer Special Order Nonstock Items cannot be returned due to the nature of the Goods being specialized at the Customer’s request. Special Order Nonstock Items unclaimed after 30 days from receipt by SES may be charged to the Customer’s, in SES’s discretion.

    Limitation of Liability

    IN NO EVENT SHALL SES BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT OR LOSS OF DATA OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.

    IN NO EVENT SHALL SES'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO SES FOR THE APPLICABLE GOODS SOLD.

    Force Majeure

    SES shall not be liable or responsible to Customer, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of SES including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, pandemic, epidemic, lockouts, strikes or other labor disputes (whether or not relating to either party's workforce), supply chain disruptions, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

    Governing Law

    All matters arising out of or relating to these Terms or the sale of the Goods shall be in all respects governed, construed, applied and enforced in accordance with the laws of the State of Missouri, without reference to any choice of law doctrine (whether of the State of Missouri or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Missouri.

    Submission to Jurisdiction

    Any legal suit, action, or proceeding arising out of or relating to these Terms or the sale of the Goods shall be instituted in the federal courts of the United States of America located in St. Louis, Missouri, unless no federal subject matter jurisdiction exists, in which case any legal suit, action, or proceeding arising out of or relating to these Terms or the sale of the Goods shall be instituted in the courts of the State of Missouri located in St. Louis County, Missouri, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding and hereby waives any objections that such venue is not convenient or proper. Customer hereby irrevocably waives any and all rights to trial by jury with respect to any legal proceeding arising out of or relating to these Terms or the sale of the Goods.

  • Price and Terms of Payment

    Force Majeure

    This Privacy Policy is effective on June 1, 2022.

    General

    This Privacy Policy describes the practices that Security Equipment Supply, Inc. (“SES”) follows with respect to the collection, use and disclosure of (1) information that may identify a particular individual and (2) other information collected from visitors to SES’s websites, including SESOnline.com (collectively, the “Website”). By using the Website, visiting our showrooms, or otherwise providing information to SES, you consent to the collection, use and disclosure of information by SES.

    Please note that SES’s products and services are intended only for wholesale to the professional trades / commercial customers in the United States, and that the collection of personal and other information is thus in connection with SES’s business relationships with customers and potential customers.

    Updates to the Privacy Policy

    SES reserves the right to revise this Privacy Policy at any time. When it does, SES will give you notice of the revised Privacy Policy by posting the revised Privacy Policy on the Website and by revising the “effective date” at the top of this Privacy Policy.
